What is Contained in This Digital Corporate Minute Book Template? #
📁 01. Certificate and Articles
- Articles of Incorporation: You will receive this as your corporation is incorporated.
- Certificate of Incorporation: This is like a “birth certificate” of the company.
- Amendments: Any future changes to the company name or share structure which are filed with Ontario Business Registry.
📁 02. By-Laws
- By-Law No. 1: General operating rules and by-law for governing the corporation.
- By-Law No. 2: Borrowing and banking powers which documents who has the power to put the corporation in debt.
📁 03. Minutes & Resolutions
- Organizational Resolutions: The “First Board Meeting” documents (appointing directors, officers, etc.) and the signed Director and Shareholder resolutions adopting the corporate by-laws.
- Annual Resolutions: The yearly signed documents (approving financials, electing directors).
- Special Resolutions: For major one-off decisions (e.g., buying a building or changing the company name).
📁 04. Director & Officer Records
- Registers: A spreadsheet or PDF listing all past and current Directors and Officers.
- Consents to Act: Signed forms from every director agreeing to take the position.
- Resignations: Any letters from directors leaving the company.
📁 05. Shareholder & Securities Records
- Shareholder Register: List of who owns how many and what type of shares of the corporation. The purpose is to show the list of current and former owners in one glance.
- Shareholder Ledger: A ledger tracking the movement of shares. This ledger is organized by an individual person or an entity. Each shareholder would have their own page in the ledger. This will show the current share ownership balance of the individual. For example, the ledger page might show a person bought 50 shares, then sold 10 shares, then bought 30 shares and the balance will be 70 shares.
- Share Certificates: Digital copies (PDFs) of the certificates issued to owners.
- Transfer Register: Record of any shares sold or transferred between people. This is the master log of all the share transfers that ever happened in this corporation. It’s a chronological log of every share transfer. For example, the register shows that Person A sold 10 shares to Person B. And Person C sold 50 shares to Entity D.
📁 06. Transparency Register (ISC)
- Register of Individuals with Significant Control: A mandatory Ontario requirement since 2023. This tracks anyone with 25% or more control/ownership.
📁 07. Government Filings & Notices
- Annual Returns: Copies of the filings made to the Ontario Business Registry.
- Notices of Change: Copies of “Form 1” filed when you change addresses or directors.
📁 08. Register of Land
- Land Register: A list of all Ontario real estate owned by the corporation (required by the OBCA since 2016).
